General Motors Announces Voting Results Of 2016 Shareholders Meeting

General Motors Company has announced at its 2016 annual meeting of shareholders the preliminary results of voting, which represent 86 percent of shares eligible to be voted.

Item 1: Directors

Election of directors. Director nominees include:

  • Joseph Ashton
  • Mary Barra
  • Linda Gooden
  • Joseph Jimenez
  • Kathryn Marinello
  • Jane Mendillo
  • Admiral Michael Mullen
  • James Mulva
  • Patricia Russo
  • Thomas Schoewe
  • Theodore Solso
  • Carol Stephenson

All directors were elected and, on average, each received 96 percent of the votes cast.

Item 2: Executive Officer Compensation

Advisory vote to approve named executive officer compensation.

Percentage of votes cast “for” Item 2: 62%

Item 3: Public Accounting Firm

Ratification of the selection of Deloitte & Touche LLP as the company’s independent registered public accounting firm for 2016.

Percentage of votes cast “for” Item 3: 99%

Item 4: Holy Land Principles In Palestine-Israel

Proposal regarding implementation of Holy Land Principles for Employment in Palestine-Israel.

Percentage of votes cast “for” Item 4: 3 percent

GM’s Board and its committees will consider the results of the votes when evaluating the company’s governance and compensation practices and final voting results will be filed on Form 8-K with the U.S. Securities and Exchange Commission and posted to www.gm.com within four business days.
